Ground Lease Agreement

RECOMMENDATION:
  1. That the Chairman be authorized to execute a Ground Lease Agreement with the Township of King for the King Communication Tower Site, subject to prior review by York Region Legal Services.
SYNOPSIS:

York Regional Police operates and maintains a voice and data communication system which is also used by all the Municipal Fire Services. It also provides voice radio communication interoperability between the York Regional Police, the Municipal Fire Services and York Region Emergency Medical Services. The King Communications Tower is owned by York Regional Police, but it is located upon land owned by the Township of King. The original land lease agreement with King Township expires on October 31, 2007, and a new agreement is required.

FINANCIAL IMPLICATIONS:

The Agreement with the Township of King carries a nominal fee of $2.00 base rent for the entire term of the agreement. The proposed Lease Agreement will commence on November 1, 2007, and run for 20 years.

BACKGROUND:

York Regional Police currently operates a Motorola Smartnet Trunking Radio System and a Dataradio private data radio system. The Motorola Smartnet Trunking Radio System is also the primary voice radio communication system used by all Municipal Fire Services within York Region. In addition, the system provides voice radio inter-operability between the Region's Emergency Medical Services, Fire Services and York Regional Police. It consists of 8 remote tower sites located throughout the Region which are linked back to the master site at York Regional Police Headquarters through a network of redundant microwave links and landlines.

The Voice Radio System is a mission critical link between our frontline officers and the Communications Bureau. Further, this system provides a redundant back-up to the Data Radio System, which today is the primary medium for dispatching calls for service. Radio system integrity is a key element contributing to the safety of the public, police officers and fire-fighters during the provision of emergency services to the citizens of York Region. The King Communications Tower site is a critical component of these systems. The tower is owned by York Regional Police, but the land upon which it is located is the property of the Township of King.

At the inception of the voice radio system in 1993, a tripartite License Agreement was signed between the Regional Municipality of York Police Services Board, the Township of King and Motorola Canada Incorporated which was given the right to manage the tower. Motorola Canada Incorporated subsequently sold its interest in the tower to Pinnacle Towers which subsequently sold its interest to Global Signal Incorporated. In January 2007, Global Signal Incorporated sold its interest in the tower to Crown Castle International Inc. These sales have contributed to poor management of the tower and were not advantageous to York Regional Police. This year the Board fully discharged its financial obligation under the original agreement and it is now recommended that the Board not exercise its right of renewal with Crown Castle International Inc. In future, the tower's commercial users will be managed by York Regional Police thereby ensuring greater security and proper maintenance of the site.

Prior to the October 31, 2007, expiry of the current tripartite Licence Agreement between The Regional Municipality of York Police Services Board, the Township of King and Crown Castle Incorporated, it is recommended that the Board enter into a new 20 year Ground Lease Agreement with the Township of King for the continued use of the land located at the King Tower Site.
